The Providence Ethics Commission consists of seven members: three appointed by the Mayor, three appointed by the City Council, and a seventh member and chair appointed by the Mayoral and Council appointees.

The duties and powers of the Commission are set forth in Sec. 17-33 of the Providence Code of Ordinances and include:
- Rendering advisory opinions, upon request of a City employee or official, as to the application or interpretation of the City’s Code of Ethics, given a particular set of facts.
- Investigating potential violations of the City’s Code of Ethics and rendering probable cause determinations.
- Working with the Municipal Integrity Officer on educational materials and training programs to ensure that all City employees and officials understand their ethical obligations.
